This Speaker/Moderator Participation and Content Submission Agreement (“Agreement”) is entered into between the Global Economic Diversification Council (GED Council), an Alberta non-profit organization with its principal office at Scotia Place, 10060 Jasper Avenue, Suite 2020, Tower 1, Edmonton, Alberta, Canada (“GED Council”), and the individual identified in the registration form (“Speaker/Moderator”).
GED Council and the Speaker/Moderator may each be referred to as a “Party” and collectively as the “Parties.”
The Speaker/Moderator agrees to deliver an educational session (“Program”) at the agreed date, time, and location as determined by GED Council. GED Council reserves the right to adjust the schedule with reasonable notice.
The Speaker/Moderator agrees to:
GED Council reserves the right to edit session titles, descriptions, and materials for alignment with the event program.
The Speaker/Moderator agrees to actively support the promotion of the event by:
The Speaker/Moderator grants GED Council the right to use their name, image, biography, and likeness for event marketing and promotional purposes.
Where applicable, GED Council may support local transportation (within host city limits), on-site meals, accommodation, and, in select cases, air travel.
In the event that the Speaker/Moderator cancels participation after non-refundable expenses (including airfare) have been incurred, the Speaker/Moderator agrees to fully reimburse GED Council for such costs.
The Speaker/Moderator grants GED Council a royalty-free, perpetual, irrevocable license to use, reproduce, and distribute Program materials for promotional and educational purposes, with appropriate attribution.
GED Council reserves the right to record the session and use such recordings for future distribution. GED Council will retain ownership of the recordings. The Speaker/Moderator may request a copy for personal use but may not distribute or commercialize it without prior written consent.
The Speaker/Moderator represents that:
The Speaker/Moderator agrees to indemnify and hold harmless GED Council from any claims arising from breach of these representations.
The Speaker/Moderator agrees to maintain a high standard of professional conduct at all times.
GED Council shall not be held liable for any loss, injury, or damages except in cases of gross negligence or willful misconduct.
This Agreement may be terminated by either Party in the event of:
The Speaker/Moderator acts as an independent contractor. Nothing in this Agreement creates an employment or partnership relationship.
This Agreement constitutes the entire understanding between the Parties and supersedes all prior agreements. Any amendments must be made in writing and signed by both Parties.
This Agreement shall be governed by the laws of the Province of Alberta, Canada.
By accepting this terms and conditions on the Speaker/Moderator form, both Parties acknowledge and agree to the terms outlined in this Agreement.
